Terms of Service.

Who We Are

MagniRise builds personal brand architecture for leaders whose reputation is non-negotiable. We are referred to in these terms as "MagniRise," "we," "us," or "our."

The person or organisation engaging us is referred to as "you," "the client," or "your."

These terms apply to every engagement, whether the client is an individual, a company, a family office, or an intermediary acting on behalf of another person.

Definitions

Where a term is used in these terms with a specific meaning, that meaning is defined below.

Scope of Services

3.1 The scope of every engagement is defined in a separate engagement agreement. These terms do not define the scope. The engagement agreement does.

3.2 MagniRise offers three systems:

3.3 Every engagement begins with the Identity Audit. The audit determines which system fits. We do not commence build work before the audit is delivered and reviewed.

3.4 The systems build in order. Presence first. Authority second. Legacy third. We do not sell Authority without Presence, and we do not sell Legacy without Authority, unless otherwise agreed in writing.

3.5 We do not provide services outside the scope of the three systems unless agreed in writing. Video production, press placement, paid media, and legal services are outside our scope.

Fees and Payment

4.1 Fees. Fees for each system are stated in the engagement agreement. Fees are not published on our website.

4.2 Payment structure.

4.3 Payment terms. Invoices are due within fourteen days of issue unless otherwise stated in the engagement agreement.

4.4 Late payment. Overdue balances accrue interest at 1.5% per month. Work pauses after fourteen days overdue. Work resumes when the outstanding balance is cleared.

4.5 Financing. Legacy can be paid monthly instead of quarterly. Presence and Authority do not have financing options.

4.6 Third-party costs. Any third-party costs (domain registration, hosting, premium tools, legal review) are disclosed and approved by you in advance. They are invoiced separately or paid directly by you.

4.7 Currency and taxes. Fees are quoted in the currency stated in the engagement agreement. All fees are exclusive of applicable taxes, which are added where required by law.

4.8 No refunds. We do not offer refunds after work begins, except where Section 11 or Section 7 applies.

Your Obligations

5.1 Participation. You agree to provide what is reasonably required for the engagement to proceed:

• Three hours for positioning sessions
• Two hours for reviews and approvals
• One hour for the final handoff call
• Four to six hours per quarter for Legacy clients
• Crisis response approvals within four hours when required

5.2 Accuracy. You agree that any information you provide to us is accurate to the best of your knowledge. We rely on this information when building positioning, narratives, and claims.

5.3 Authority. You confirm that you have the authority to enter into this engagement and to approve the deliverables we produce. If you are engaging on behalf of another person, you confirm you have their authority to do so.

5.4 Compliance. You are responsible for complying with any laws, regulations, or professional rules that apply to you, including rules that restrict what you can publicly claim. Where your industry is regulated, you agree to make your legal counsel available for review (see Section 13).

5.5 No self-inflicted damage. During an engagement, you agree not to publish or cause to be published anything that materially contradicts the positioning we are building, without first informing us. This is a condition of the Milestone Guarantee (see Section 7).

5.6 Timely approvals. You agree to review and approve deliverables within a reasonable time. Delays pause timelines and gates (see Section 6).

Timelines and Delays

6.1 Stated timelines. Timelines for each phase are stated in the engagement agreement and on our Process page. They are:

6.2 The client-delay clause. Gate timelines begin upon your approval of the prior phase. If you delay an approval, the clock pauses. The guarantee stays valid. The work resumes when you are ready.

6.3 No penalty for delay. We do not charge a penalty for client delays. We do not chase. If you go silent, we wait. Your engagement does not expire.

6.4 Our delays. If we miss a gate, the Milestone Guarantee applies (see Section 7).

The Milestone Guarantee

7.1 The guarantee. Every engagement carries the Milestone Guarantee. Seven gates. Each gate has a stated promise and a stated consequence for missing it.

7.2 Conditions. The Milestone Guarantee applies only where all of the following are true:

• You have completed your obligations under Section 5
• You have approved the positioning and the narrative
• You have not caused public damage to your reputation during the engagement
• You have not changed the positioning mid-engagement without our agreement
• The gate timelines have not been paused by client delay (see Section 6.2)

7.3 The remedy. Where we miss a gate, the remedy is stated in the table above. The remedy is always forward commitment — free work, not money returned.

7.5 What this guarantee does not cover. The Milestone Guarantee does not cover:

• Training-data AI models, whose update cycle is controlled by the model provider, not us (see Section 15)
• Search engine algorithm changes outside our control, provided we have built the inputs correctly
• Results affected by client delay, client-caused damage, or client-initiated positioning changes
• Third-party actions including negative press, legal action, or platform policy changes

7.6 The measurement standard. Search and AI gates are measured as follows:

• Search: 80% or more of page one search results for your name and the agreed query set are assets we built or approved, within 90 days of launch
• AI: Your name appears in at least 60% of runs across four retrieval models for the agreed query set, within 90 days of launch

The query set is agreed with you during the Discovery phase and signed off before build begins. It can be amended once per year.

Intellectual Property and Ownership

8.1 What you own. Upon full payment, you own the following, permanently and without restriction:

8.2 Transferability. Everything listed in Section 8.1 is transferable. If you leave, everything goes with you. We do not withhold assets.

8.3 What we retain. We retain the right to reuse our internal methodologies, processes, templates, and general knowledge. We do not retain any right to your personal brand, your name, your positioning, or anything specific to you.

8.4 Pre-existing materials. Anything you provide to us remains yours. You grant us a limited licence to use it for the duration of the engagement, only for the purpose of delivering the work.

8.5 Third-party assets. Any third-party assets used (stock imagery, fonts, licensed tools) are licensed to you for use, subject to the terms of the third party. We disclose these where they apply.

8.6 No use of your name. We do not use your name in marketing, case studies, testimonials, or references without your written permission. See Section 9.

Confidentiality

9.1 Our commitment. We treat every engagement as confidential. This means:

9.2 Your engagement pod. Access to your information is limited to the five-person pod assigned to your engagement. No contractors outside the pod have access.

9.3 Data handling. All documents, deliverables, and reports are encrypted at rest and in transit. Passwords for encrypted deliverables are delivered separately from the deliverables themselves.

9.4 Retention. We archive engagement data for twelve months after the engagement ends. You may request deletion at any time. We delete on request.

9.5 NDAs. We sign client NDAs as standard. If you have your own NDA, we review and sign it before the engagement begins.

9.6 Exceptions. We may disclose information where required by law, court order, or regulatory obligation. Where legally permitted, we will inform you first.

Pauses

10.1 One pause per engagement. You may pause an engagement once for up to thirty days. We pause the work, the timeline, and the guarantee clock.

10.2 After thirty days. If a pause extends beyond thirty days, we agree a new start date with you. The engagement resumes where it left off.

10.3 During a pause. All assets already built remain yours. Nothing is withheld.

Cancellation and Termination

11.1 Cancellation by you.

11.2 Cancellation by us. We may terminate an engagement if:

• You fail to pay an invoice within thirty days of the due date
• You ask us to do something unlawful, unethical, or outside our scope
• You breach these terms in a way that cannot be corrected
• Continued work would create a conflict of interest
• The relationship becomes unworkable for any reason we reasonably determine

Where we terminate under this section, you receive a pro-rata refund for undelivered phases.

11.3 On cancellation. Where you cancel, the following applies:

• We deliver all work completed up to the cancellation date
• You pay for all phases completed
• You receive all assets built to that point
• We do not charge for phases not started

11.4 What survives cancellation. Sections 8, 9, 16, and 17 survive cancellation.

Emergency Onboarding

12.1 Availability. Emergency onboarding is available for clients in crisis. It is limited to one mandate per quarter.

12.2 What changes. Under emergency onboarding:

• The Identity Audit is compressed to seventy-two hours
• The crisis protocol is built first
• The remaining work follows the standard sequence

12.3 Conditions. Emergency onboarding requires:

• Immediate payment of the engagement fee
• Availability for calls within twenty-four hours
• Signed pre-authorisation for holding statements and verification work
• Prompt approvals throughout

12.4 No guarantee of outcome. Emergency onboarding shortens the timeline. It does not change the Milestone Guarantee conditions or the measurement standard.

Regulated Industries

13.1 Compliance is your responsibility. Where your industry is regulated (legal, medical, financial, government, or similar), compliance with those regulations is your responsibility.

13.2 Legal review. We do not publish claims that require regulatory approval without your legal counsel's review. Where your industry requires it, you agree to make counsel available to review deliverables before publication.

13.3 No legal advice. We do not provide legal advice. We are not a law firm. Nothing we produce should be relied upon as legal advice.

13.4 Regulatory claims. Where your regulator prohibits certain claims (outcome guarantees, testimonials, comparative statements), you agree to inform us before we draft those claims.

Crisis Response

14.1 You approve everything. No crisis response is deployed without your written approval. This is absolute. We do not act unilaterally.

14.2 Pre-authorised elements. You may sign a pre-authorisation document allowing certain elements to deploy without further approval (holding statements, verification work, monitoring escalation). Nothing beyond the pre-authorised elements deploys without your approval.

14.3 You own the statement. Where we draft a statement and you approve it, the statement is yours. You are responsible for it. We are not liable for the content of statements you have approved.

14.4 Your decision not to respond. If you choose not to respond to a crisis, we monitor and document. We do not deploy. No response is deployed against your wishes.

14.5 Coordination with your team. We coordinate with your legal counsel, security team, and corporate communications where relevant. We do not replace them.

14.6 Physical safety. Where physical safety is concerned (doxxing, direct threats, coordinated harassment), we coordinate with your security team. We do not provide physical security.

What We Do Not Guarantee

15.1 Training-data AI models. AI models that rely on training data rather than live retrieval — including Claude and ChatGPT without search — update on their provider's schedule. We do not control this schedule. We measure and report it separately from the retrieval models we do guarantee.

15.2 Search engine algorithm changes. Search engines change their algorithms. If we have built the correct inputs and an algorithm change affects the outcome, we will continue working at no fee until the standard is met (under Gate 04). We do not guarantee against every algorithm change.

15.3 Platform policy changes. Third-party platforms (Google, LinkedIn, OpenAI, Anthropic, Perplexity) may change their policies, features, or availability. We do not control these. We adapt where possible.

15.4 Media coverage. We do not guarantee media coverage, press placement, or journalist interest. Our work is to build the surfaces that make coverage more likely. We do not place press.

15.5 Third-party actions. We do not guarantee against negative press, legal action, competitor activity, or any third-party action outside our control. We provide monitoring and response. We do not prevent every event.

15.6 Business outcomes. We do not guarantee board seats, fundraises, client wins, speaking invitations, or any specific business outcome. We build the infrastructure that makes these more likely. We do not control the decisions of others.

15.7 Physical security. We do not provide physical security. Where physical risks arise, we coordinate with your security team.

Limitation of Liability

16.1 Cap on liability. Our total liability under any engagement is limited to the total fees paid by you for that engagement.

16.2 No consequential loss. We are not liable for indirect, consequential, incidental, or punitive damages, including lost profits, lost opportunities, or reputational harm arising from circumstances outside our work.

16.3 Approved content. We are not liable for the content of any statement, claim, or material you have approved in writing.

16.4 Third parties. We are not liable for the acts or omissions of third parties, including search engines, AI model providers, platforms, media outlets, journalists, regulators, or individuals who publish content about you.

16.5 Accuracy of client information. We are not liable for outcomes resulting from inaccurate information you provided.

16.6 Force majeure. We are not liable for delays or failures caused by events outside our reasonable control, including natural disasters, war, cyberattacks, platform outages, or regulatory changes.

Dispute Resolution

17.1 Talk to us first. If a dispute arises, tell us in writing. We will respond within fourteen days. Most disputes are resolved in this step.

17.2 Escalation. If the dispute is not resolved within thirty days of your written notice, both parties agree to attempt resolution through a neutral mediator before commencing legal proceedings.

17.3 Mediation. Mediation takes place in a location agreed by both parties, or remotely. The cost of mediation is shared equally.

17.4 Legal proceedings. If mediation fails, either party may commence legal proceedings under Section 18.

17.5 No public dispute. Neither party will publicly disclose the existence or details of a dispute without the other's written consent, except where required by law.

Governing Law

18.1 Governing law. These terms are governed by the laws of [Jurisdiction to be confirmed by legal counsel].

18.2 Jurisdiction. Any legal proceedings are brought in the courts of [Jurisdiction to be confirmed by legal counsel].

18.3 International clients. Where the client is outside our jurisdiction, we agree on the jurisdiction in the engagement agreement. Where no jurisdiction is agreed, the jurisdiction in Sections 18.1 and 18.2 applies.

Changes to These Terms

19.1 We may update these terms. We may update these terms from time to time. The "Last updated" date at the top of this page reflects the current version.

19.2 Notice of material changes. Where we make material changes, we will notify active clients in writing. Changes do not apply retrospectively to engagements already underway unless you agree.

19.3 Continued engagement. Continuing to engage us after a change to these terms constitutes acceptance of the change.
